INTRODUCTION AND SUMMARY

Livetree is a platform brought to you by Livetree Community Limited (a registered United Kingdom limited company with company number 10997183) (“LCL” / “we” / “us”). 

We have designed Livetree to empower creators, and to facilitate the monetisation of content and the sharing of value, with the goal to contribute to the wellbeing of the planet. Therefore, a part of all value transitioning through Livetree will be deployed to support good causes and non-profit organisations.

 

These Interface Terms govern your use of the website and apps (the “Interface”).

 

The Interface, Livetree related online functionality and other online features relating to the Interface (including our app for mobile devices) are referred to in these Interface Terms as our “Online Service”.

 

These Interface Terms incorporate the terms and conditions applicable to the Livetree mobile device app (“Terms”).  You may not use the Interface unless you also agree to the Terms and are a user of the our app. The Interface Terms should be read in conjunction with the Terms. Any wording defined in the Terms shall have the same meaning in these Interface Terms. 

 

We don’t want you damaging the Interface or LCL by using it illegally, to produce offensive material to commercial exploit the Interface in an unintended manner so we need you to agree to some simple terms to enjoy the Interface as intended.

 

•          These Interface Terms, in addition to the Terms, together constitute a legal agreement between us and you, so please read them carefully.  They describe how you are permitted to use the Interface.

•          If you don’t want to or can’t agree to these Interface Terms, or the Terms, then you must not access the Interface.

•          If you break these rules, we may stop you using the Online Service, or ask our lawyers to get in touch.

•          The Online Service is provided on an ‘as is’ basis.

•          These Interface Terms may change from time to time.

•          You’re only allowed to use the Interface if you are 18 years or older.

•          the Interface requires internet connectivity and the availability of our Online Service to function.

How Livetree works with other platforms. These Interface Terms are in addition to any applicable terms and conditions of any other device or channel on which we make Livetree available. The Terms are therefore deemed incorporated into these Interface Terms.

How the Interface Works.  The Interface serves as a companion to the Livetree mobile device app and allows app users to access additional functionality.  The Interface is intended to be used in addition to the Livetree mobile device app.  

Operating System Updates. The Interface has been developed to work on the latest versions of commonly used web browsers. Browser operators may from time to time update their software, and LCL will endeavour, but not be obligated, to update to ensure that its functionality and performance continue with any update release. It is your obligation to ensure that you are using the latest compatible public release of any operating system.

 

1.               URL OF THE INTERFACE

            Throughout these Terms and Conditions, the term “Interface” refers to https:/portal.livetree.com

2.               AGE RESTRICTION

            Access to and use of https://portal.livetree.com is restricted to individuals who are 18 years and older. No persons under the age of 18 are permitted to use the Interface.

3.              YOUR USE OF THE INTERFACE

3.1            Your use of the Interface is also subject to any law and regulation that applies to you, whether by virtue of your place of residence, nationality, or otherwise. You may NOT use or otherwise access the Interface if doing so contravenes any such law and/or regulation.

3.2            This includes any laws or regulation relating to financial service or investments, the promotion of financial service or investments, gambling, electronic payments or electronic money, which with you must comply at all times while using the Interface.  

3.3            You are also responsible for reporting your own income, gains or other taxable events, and ensure the correct tax is paid in each jurisdiction applicable.

3.4            We are not responsible for operating the Apple App Store or Goole Play Store. We comply with Google Play Store and Apple App Store terms and conditions relating to LCL’s Android and iOS app. If you are restricted by either the Apple App Store or Google Play Store you must contact them directly. 1.5           We do not transmit or store payment actions, which are managed by the external payment gateway providers.  We cannot delete or modify any of those records, and you should be aware that we maintain strict AML/KYC and CFT policies and will restrict accounts at our own discretion.

3.6            You must be at least 18 years old to play the Interface and will need internet access and a compatible browser or phone. Some transactions carried out using the external payment providers are associated with transaction fees. We do not charge or control these fees, which are determined by the payment provider or app store. Please do not use the Interface if you do not understand or are not comfortable with those fees.

3.7            Sometimes delays can arise due to problems with external service providers.  We are not responsible for or in control of these delays or other interruptions or non-availability of the payment providers or app stores you use.  

 

4.              TERMINATION

We can terminate these Interface Terms if you don’t comply with them, and you can terminate them too by stopping all use of the Interface.

 

5.              DESCRIPTION OF USERS

5.1            User Accounts

5.1.1        To access certain features of the Interface, users may be required to create an account. Users are responsible for maintaining the confidentiality of their account credentials and are liable for any activity that occurs under their account.

5.1.2        Livetree reserves the right to suspend or terminate user accounts at its discretion, especially in cases of unauthorized use or violation of these Interface Terms.

5.2            User Conduct

5.2.1        Users must adhere to ethical and legal standards when using the Interface. Prohibited activities include, but are not limited to, engaging in illegal activities, violating intellectual property rights, and spreading harmful content.

5.2.2        Livetree has the right to monitor user conduct and take appropriate action, including account suspension or termination, in response to any violations.

6.              WARRANTIES

6.1            User Warranties

6.1.1        By using the Interface, users warrant that they will comply with all applicable laws and regulations.

6.1.2        Users represent that any content they upload or share does not infringe on the rights of third parties, including intellectual property rights.

 

7.              DATA PRIVACY

7.1            User Data

7.1.1        Livetree collects and processes user data in accordance with its Privacy Policy, which is an integral part of these Interface Terms.

7.1.2        Users are encouraged to review the Privacy Policy to understand how their data is handled and used.

8.              USER CONTENT

8.1            You warrant and represent to LCL that

8.1.1        you have the full power to enter into these Interface Terms and are entitled to grant the rights, licences and assignments contained in it and have all requisite licences and assignments necessary to do so.

               8.2            You will indemnify (agree to compensate) and hold harmless LCL against all actions, claims, proceedings, costs and damages (including any damages or compensation paid by LCL on the advice of its legal advisors to compromise or settle any claim) and all legal costs or other expenses or arising out of any breach of the above warranties or these Interface Terms.

 

9.              OUR LIABILITY.

9.1            Nothing in these Interface Terms will limit any of your rights which may not be excluded under law.  This means that, irrespective of any other terms in these Interface Terms:

9.1.1        our liability to you for personal injury or death caused by our negligence is not excluded or limited, nor is our liability to you for any fraudulent representation we make;

9.1.2        if the Livetree platform and/or the Online Service is faulty (i.e. not of satisfactory quality, not fit for purpose or not as described) when we deliver it to you, we will try to repair or replace it. Please note that the Livetree platform is in early access and as such may include some bugs.

9.2            Other than as mentioned above, our overall liability to you is limited to £100.  The Livetree platform and the Online Service, along with any updates or upgrades, is provided “as is”.  That means we don’t make any promises to you about the Livetree platform and/or the Online Service other than that the Livetree platform and/or the Online Service will be of satisfactory quality, as described, and fit for purpose.  We don’t make any other promises to you about the Livetree platform and/or the Online Service. 

9.3            Our promises to you about the Livetree platform and/or the Online Service do not apply if any defects or faults in the Livetree platform and/or the Online Service are as a result of your having altered or modified the Online Service (including using any mods), or where you have used the Interface in breach of these Interface Terms.

9.4            We’ll use reasonable skill and care to provide the Livetree platform and/or the Online Service but can’t guarantee there won’t be any errors or interruptions when playing it or using them, or that they won’t cause any problems with your device.  

9.5            Please do let us know straight away if you discover any problems with the Livetree platform and/or the Online Service, so we’re aware and can decide whether it’s something we need to address in a future release (if there is one).  You can contact us to let us know about any problems with the Livetree platform and/or the Online Service at connect@livetree.com.

 

10.              Indemnity and Remedies.

10.1            Make sure you read these Interface Terms carefully and understand its contents.  If we are threatened or face legal action because you’ve broken any of the other rules in these Interface Terms, we may hold you responsible. That means you will need to compensate us and pay us back for any damage we suffer as a result, and for our legal and other expenses.

10.2            LCL’s licensors shall be third-party beneficiaries under these Interface Terms and shall have the express right to enforce its provisions and to enjoy the benefits of its protections.

 

11.              other important terms.

11.1            LCL reserves the right to change, adapt or update these Interface Terms from time to time. LCL shall inform you of any such changes as soon as reasonably practicable.

11.2            In the event that any provision of these Interface Terms shall be held by a court or other tribunal of competent jurisdiction to be unenforceable, such provision will be enforced to the maximum extent permissible and the remaining portions of these Interface Terms shall remain in full force and effect.

11.3            These Interface Terms represent and agreement between you and the LCL, which shall be governed by, construed, and enforced under the laws of England & Wales without regard to any choice or conflict of laws rules. You hereby irrevocably agree that the courts of England & Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Interface Terms, their subject matter or formation.
